Senior Corporate Paralegal
Join a NYC boutique as Senior Corporate Paralegal: own venture financings, governance, and closings with a collaborative team and flexible hybrid schedule.
Location: New York City, NY (Hybrid: 1-2 days/week in office)
We're partnering with a highly respected boutique law firm at the intersection of law and finance to hire an experienced Senior Corporate Paralegal. This is an opportunity to join a collaborative, high-performing corporate practice advising venture-backed startups, founders, investors, and emerging growth companies.
This role is ideal for an experienced transactional corporate paralegal who enjoys taking ownership of sophisticated matters, working directly with attorneys and clients, and managing transactions from inception through closing.
What You'll Do
Manage corporate governance and entity maintenance for multiple client entities.
Coordinate venture financing transactions, including SAFEs, convertible notes, and priced equity rounds.
Prepare and organize transaction documents, signature packages, and closing binders.
Maintain corporate records, minute books, and capitalization tables.
Coordinate closing logistics with attorneys, founders, investors, and other stakeholders.
Support mergers and acquisitions and other corporate transactions as needed.
Develop and improve internal processes, templates, and transaction workflows.
Work independently in a fast-paced, entrepreneurial environment with minimal supervision.
What We're Looking For
6+ years of corporate paralegal experience within a law firm or other sophisticated legal environment.
Strong experience supporting venture-backed startups, emerging companies, or private company transactions.
Hands-on experience with venture financings, including SAFEs, convertible notes, and preferred equity financings.
Experience with corporate governance, entity formation, and ongoing entity maintenance.
Familiarity with cap table management and equity documentation.
Experience coordinating transaction closings from start to finish.
Strong organizational skills with the ability to manage multiple concurrent matters.
Experience using DocuSign, virtual data rooms, and document management systems.
Paralegal Certificate or equivalent experience preferred.
