Compensation: upto 18 Lakhs (depends on current ctc too)
Role Overview
We are looking for a qualified and experienced Company Secretary to oversee corporate governance, statutory compliance, and secretarial functions of the company. The candidate will work closely with the Board of Directors and senior management to ensure compliance with the Companies Act, SEBI regulations, and other applicable laws.
Key Responsibilities
Compliance Officer & Legal Advisor: Ensures compliance with the Companies Act 2013, SEBI regulations, FEMA, and other corporate laws.
Board & Corporate Governance: Advises the Board on its duties and best practices for corporate governance.
Meetings Administration: Organizes, attends, and keeps minutes of board, committee, and general meetings.
Documentation & Filing: Files necessary forms and returns with the Registrar of Companies (ROC), maintains statutory records, and manages share transfers.
Strategic & Operational Role: Assists in mergers & acquisitions, foreign collaborations, and company restructuring.
Stakeholder Link: Acts as the vital link between the company management, the board of directors, and shareholders.
Qualifications
* Qualified Company Secretary (CS) with membership of the Institute of Company Secretaries of India (ICSI).
* Additional qualification such as LLB will be an advantage.
Experience
* 8+ years of relevant experience in corporate secretarial functions and compliance.
* Experience in manufacturing or engineering companies preferred.
Key Skills
* Strong knowledge of Company Law, corporate governance, and regulatory compliance.
* Excellent drafting, communication, and analytical skills.
* Ability to manage confidential information with integrity.
* Strong coordination skills with board members and external regulators.
